End-User License Agreement (EULA)

1. Acknowledgement

This EULA is an agreement between you (the end-user) and the Counterwatch developer ("we", "us"). It is not an agreement with Overwolf. We are solely responsible for the application and its content.

2. Third-Party Beneficiary (Overwolf)

You acknowledge and agree that Overwolf and Overwolf's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of this EULA, Overwolf will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

3. License

We grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable, worldwide license to use Counterwatch solely for your personal, non-commercial use.

4. Intellectual Property

In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual property rights, you acknowledge that we, not Overwolf, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

5. Disclaimer and Warranties

You use the application at your own risk. To the maximum extent permitted by law, the application is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

6. Maintenance and Support

We are solely responsible for providing any maintenance and support services with respect to the application, as specified by us or as required under applicable law. Overwolf has no obligation whatsoever to furnish any maintenance and support services.
